Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ProSiteplatform, mobile apps, and web dashboard (together, the "Service") provided by ProSite ("ProSite", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
1. Accounts & workspaces
The Service is organised into workspaces. The person or entity that creates a workspace is its owner and is responsible for managing roles, permissions, and members. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
2. Acceptable use
You agree not to:
- use the Service in violation of any applicable law or regulation;
- upload content you do not have the right to share, or that is unlawful or infringing;
- attempt to gain unauthorised access to the Service, other workspaces, or related systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer or resell the Service except as permitted by law.
3. Customer data
You retain all rights to the content your team submits to the Service ("Customer Data"). You grant ProSite a limited licence to host, process, and display Customer Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy.
4. Subscriptions, seats & billing
Paid plans are billed per logged-in user seat — manager seats at the full rate and employee seats at a discounted rate — on a monthly or annual cycle as selected at checkout. Roster-only field workers without login access are not billed, subject to plan limits. Fees are stated exclusive of taxes unless noted. Unless otherwise agreed, subscriptions renew automatically for the same term until cancelled, and fees already paid are non-refundable except where required by law.
Assumption to verify: finalise the commercial terms (exact pricing, trial length, refund and proration policy, taxes, and any minimum commitment) with the business and your payment processor, and align this section accordingly.
5. Free and trial plans
We may offer free or trial access with usage limits. We may modify or discontinue free/trial offerings at any time. Trial workspaces may be suspended or removed after the trial period if not upgraded.
6. Service changes & availability
We continuously improve the Service and may add, change, or remove features. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. The Service is currently online-first and assumes reasonable network connectivity on-site.
7. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Service or its users. Upon termination, your right to use the Service ceases; we will make Customer Data available for export for a reasonable period unless prohibited by law.
8. Intellectual property
The Service, including its software, design, and trademarks (including the ProSite name and logo), is owned by ProSite and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, ProSite will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold ProSite harmless from claims arising out of your Customer Data or your use of the Service in breach of these Terms, to the extent permitted by law.
12. Governing law & disputes
Assumption to verify: specify the governing law, jurisdiction, and any dispute-resolution or arbitration process applicable to your business, in consultation with legal counsel.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
